Terms & Conditions

These Terms & Conditions apply to all quotations, purchase orders, sales, and deliveries of products and services provided by Eagle Touch (“Seller”) to its customers (“Buyer”), unless otherwise agreed in writing.

1. Scope of Application

These Terms & Conditions govern all transactions between Eagle Touch and the Buyer, including but not limited to the sale of industrial touchscreens, touch monitors, panel PCs, and related OEM/ODM services.

Any deviation from these terms shall be valid only if expressly agreed in writing by Eagle Touch.

2. Quotations & Orders

• All quotations issued by Eagle Touch are non-binding unless otherwise stated and are valid for the period specified in the quotation.
• Orders shall be deemed accepted only after written confirmation by Eagle Touch, including confirmation of specifications, pricing, lead time, and commercial terms.
• For customized or OEM/ODM products, order confirmation is subject to final approval of drawings, samples, or specifications.

3. Pricing & Payment Terms

• Prices are quoted in the agreed currency and exclude taxes, duties, and shipping costs, unless otherwise specified.
• Payment terms shall be stated in the quotation or proforma invoice.
• Unless otherwise agreed, standard terms apply: deposit prior to production and balance prior to shipment.
• Eagle Touch reserves the right to suspend production or delivery in case of delayed or failed payment.

4. Lead Time & Delivery

• Lead times are estimated and based on confirmed specifications and material availability.
• Delays caused by factors beyond Eagle Touch’s reasonable control (including supplier delays or logistics disruption) shall not constitute a breach of contract.
• Delivery terms (e.g., EXW, FOB, CIF, DAP) shall be governed by Incoterms® 2020, unless otherwise agreed.

5. Inspection & Acceptance

• The Buyer shall inspect the goods immediately upon receipt.
• Any claims regarding quantity, visible damage, or non-conformity must be submitted in writing within 7 days of delivery.
• Failure to notify within this period shall be deemed acceptance of the goods.

6. Warranty

Warranty terms are governed by Eagle Touch’s Warranty & RMA Policy, which forms an integral part of these Terms & Conditions. For OEM/ODM or project-based deliveries, warranty terms may be adjusted by written agreement.

7. Intellectual Property

• All intellectual property, including drawings, designs, samples, software, and technical documentation provided by Eagle Touch, shall remain the property of Eagle Touch unless otherwise agreed in writing.
• The Buyer shall not copy, disclose, or use such materials for purposes other than the agreed project.
• For customer-supplied designs or specifications, the Buyer warrants that no third-party intellectual property rights are infringed.

8. Custom Products & OEM/ODM Orders

• Custom-built and OEM/ODM products are non-cancellable and non-returnable once production has commenced, unless otherwise agreed.
• Engineering changes requested after order confirmation may result in additional cost and lead time adjustments.
• Tooling, NRE, and sample charges are non-refundable unless explicitly agreed otherwise.

9. Limitation of Liability

• Eagle Touch shall not be liable for any indirect, incidental, consequential, or special damages, including loss of profit or business interruption.
• Eagle Touch’s total liability shall be limited to the value of the products supplied under the relevant order.
• Eagle Touch shall not be responsible for system-level failures caused by integration, software, or third-party components.

10. Force Majeure

Eagle Touch shall not be held liable for failure or delay in performance caused by events beyond its reasonable control, including but not limited to natural disasters, fire, epidemic, war, government actions, labor disputes, or supply chain disruptions.

11. Confidentiality

Both parties agree to keep confidential all non-public technical, commercial, or project-related information exchanged during cooperation, unless disclosure is required by law or agreed in writing.

12. Governing Law & Jurisdiction

Unless otherwise agreed, these Terms & Conditions shall be governed by and construed in accordance with the laws applicable to Eagle Touch’s place of business. Any disputes arising from these Terms & Conditions shall be resolved through amicable negotiation or submitted to the competent jurisdiction as agreed by both parties.

13. Final Provisions

• These Terms & Conditions constitute the entire agreement between Eagle Touch and the Buyer unless superseded by a signed contract.
• Eagle Touch reserves the right to update these Terms & Conditions without prior notice.
• In case of conflict, the terms stated in the confirmed quotation, purchase order, or signed agreement shall prevail.
